1. Agreement

By using Marzo AI ("Service"), you agree to these terms. If you're using this for your company, you confirm you have authority to agree on their behalf.

2. What Marzo AI Does

Marzo AI analyzes your workplace data (like Slack messages, calendar events, documents) to provide organizational insights. Your workspace admin controls which integrations and scopes we can access and may revoke access at any time.

3. Your Account & Billing

Subscription: The Service requires a paid subscription. See our pricing page for current plans.

Payment: We'll charge your payment method monthly or annually as selected. All fees are non-refundable.

Cancellation: Cancel anytime through your account settings. Cancellation takes effect at the end of your current billing period.

Free Trial: New accounts may receive a free trial period. We'll notify you before any charges begin. Credit card required for trial signup.

Price Changes: We'll give you 30 days notice before any price increases.

4. Data & Privacy

Your Data: You own all your data. You grant Marzo a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Customer Data solely to provide the Service, perform support, and maintain security and compliance.

No Third-Party Model Training: We do not allow third-party AI vendors to train their models on your data. We may use aggregated, de-identified telemetry (e.g., feature usage, performance/error rates) to improve the Service; Customer content (messages, documents, transcripts) and personal identifiers are excluded and admins may opt out at any time.

Data Security: We use industry-standard security practices to protect your data.

Data Deletion: When you cancel, we'll delete your data within 90 days unless you request earlier deletion, subject to limited retention in backups/logs and as required by law or to enforce our rights.

Service Providers: We work with trusted partners to provide our service, including cloud hosting providers, payment processors, AI inference providers, and analytics services. All partners are contractually required to protect your data. AI inference providers process your data only to generate the outputs you request and do not use it to train their models. Some providers may retain limited data for a short period for reliability, abuse prevention, or legal compliance, consistent with our Subprocessor List.

Security Incidents: We’ll notify you without undue delay and consistent with applicable law upon becoming aware of a data breach affecting your data.

5. How You Can Use the Service

License: You can use Marzo AI for your internal business purposes during your subscription.

Restrictions: Don't:

• Use the Service for anything illegal

• Try to hack or break our security

• Share your account credentials

• Upload malicious code

Employee Data: You're responsible for ensuring you have the right to process employee communications and for any required employee notifications.

6. Important Disclaimers

No Warranties: The Service is provided "as is" without guarantees.

AI Limitations: Our AI may make mistakes or miss things. Always use human judgment for important decisions. CUSTOMER IS SOLELY RESPONSIBLE FOR VALIDATING ALL OUTPUT; DO NOT RELY ON MARZO AI FOR MISSION-CRITICAL OR LEGALLY BINDING DECISIONS.

Not Professional Advice: We don't provide legal, financial, or other professional advice.

7. Liability

Liability Limit: Our total liability to you is limited to what you paid us in the past 12 months.

No Indirect Damages: Neither of us is responsible for indirect damages like lost profits.

Your Responsibility: You'll protect us from claims related to your use of the Service or your data.

8. Third-Party Services

You need valid accounts with integrated services (Slack, Google, etc.). We're not responsible if these services change, break, or restrict access.

9. Marketing Permission

Unless you let us know otherwise, you give Marzo a revocable, non-exclusive, worldwide license to use your company’s name, logo, and publicly available description in Marzo marketing and promotional materials—including our website, slide decks, event signage, social media, and press releases—to identify you as a user of the Service.

If you ever want us to stop, email legal@marzo.ai and we’ll remove your references as soon as reasonably practical.

10. Changes & Termination

Changes: We may update these terms. We'll notify you of significant changes.

Termination: Either of us can end this agreement with 30 days notice, or immediately if the other party materially breaches these terms.

11. Legal Stuff

Governing Law: These terms are governed by Delaware law.

Export Compliance: You agree not to export or allow access to the Service in violation of U.S. export laws or sanctions.

Disputes: We'll try to resolve disputes informally first. If that doesn't work, we'll use binding arbitration. BOTH PARTIES WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS OR COLLECTIVE ACTION.

Entire Agreement: These terms represent our complete agreement and replace any prior agreements.
